{"id":3735,"date":"2018-02-06T11:04:01","date_gmt":"2018-02-06T10:04:01","guid":{"rendered":"https:\/\/gavelsabogados.com\/?p=3735"},"modified":"2025-04-22T21:24:48","modified_gmt":"2025-04-22T19:24:48","slug":"the-supreme-court-declares-partial-nullity","status":"publish","type":"post","link":"https:\/\/gavelsabogados.com\/en\/the-supreme-court-declares-partial-nullity\/","title":{"rendered":"The Supreme Court Declares Partial Nullity"},"content":{"rendered":"<p class=\"\" data-start=\"179\" data-end=\"354\">In <strong data-start=\"182\" data-end=\"199\">November 2017<\/strong>, the <strong data-start=\"205\" data-end=\"222\">Supreme Court<\/strong> once again ruled on a <strong data-start=\"245\" data-end=\"272\">multi-currency mortgage<\/strong> entered into by borrowers with <strong data-start=\"304\" data-end=\"327\">Barclays Bank, S.A.<\/strong> (now <strong data-start=\"333\" data-end=\"352\">Caixabank, S.A.<\/strong>).<\/p>\n<p class=\"\" data-start=\"356\" data-end=\"758\">Key aspects of the agreement entered into by the borrowers with the bank include:<br data-start=\"437\" data-end=\"440\" \/>(i) the bank did not provide the borrowers with any written information prior to the execution of the contract; it did not provide an information leaflet nor a binding offer, and<br data-start=\"618\" data-end=\"621\" \/>(ii) the bank representative responsible for handling the transaction with the borrowers lacked knowledge about multi-currency mortgages.<\/p>\n<p class=\"\" data-start=\"760\" data-end=\"992\">On these two grounds, the Supreme Court based its decision to declare the nullity of the multi-currency mortgage. However, such nullity was <strong data-start=\"900\" data-end=\"911\">partial<\/strong>, not total, due to the prejudice that full nullity would cause to the borrowers.<\/p>\n<p class=\"\" data-start=\"994\" data-end=\"1603\">Unlike the previous <strong data-start=\"1014\" data-end=\"1038\">Supreme Court ruling<\/strong> on this matter, dated <strong data-start=\"1061\" data-end=\"1077\">30 June 2015<\/strong>, which considered multi-currency mortgages as financial instruments, the judgment of <strong data-start=\"1163\" data-end=\"1183\">15 November 2017<\/strong> established that multi-currency mortgages are <strong data-start=\"1230\" data-end=\"1259\">not financial instruments<\/strong> regulated under the <strong data-start=\"1280\" data-end=\"1305\">Securities Market Law<\/strong>, for several reasons:<br data-start=\"1327\" data-end=\"1330\" \/>(i) their purpose is not to make an investment by the consumer, but rather to obtain funds for the purchase of a consumer good, and<br data-start=\"1461\" data-end=\"1464\" \/>(ii) in the multi-currency mortgage contract, no distinction is made between the loan agreement and a forward foreign exchange transaction.<\/p>\n<p class=\"\" data-start=\"1605\" data-end=\"1799\">This jurisprudential change means that financial institutions granting such loans are <strong data-start=\"1691\" data-end=\"1707\">not required<\/strong> to assess the customer or to provide the information foreseen in the Securities Market Law.<\/p>\n<p class=\"\" data-start=\"1801\" data-end=\"2505\">However, the non-application of the Securities Market Law to multi-currency mortgage loan contracts <strong data-start=\"1901\" data-end=\"1920\">does not exempt<\/strong> banks from compliance with <strong data-start=\"1948\" data-end=\"1973\">transparency controls<\/strong>. This transparency obligation requires banks to inform clients about the product being contracted, explicitly informing them of the <strong data-start=\"2106\" data-end=\"2126\">financial burden<\/strong> of such a product and providing an <strong data-start=\"2162\" data-end=\"2200\">assessment of the economic benefit<\/strong> in relation to the <strong data-start=\"2220\" data-end=\"2239\">financial risks<\/strong> borne by the client (e.g., currency fluctuation forecasts, variations in loan amortisation, possible depreciation of the euro against the foreign currency, possibility of early maturity, etc.), allowing the consumer to carry out a detailed analysis of the contract.<\/p>\n<p class=\"\" data-start=\"2507\" data-end=\"2705\">It is necessary not only to inform the consumer in advance of each and every term of the contract, but also that the <strong data-start=\"2624\" data-end=\"2635\">clauses<\/strong> of the contract are drafted in a <strong data-start=\"2669\" data-end=\"2697\">clear and comprehensible<\/strong> manner.<\/p>\n<p class=\"\" data-start=\"2707\" data-end=\"3143\">Multi-currency mortgages carry particular risks due to interest rate changes and currency fluctuations, involving constant recalculation of the loan capital, which obliges the bank to provide the consumer with more detailed information about this product, since an average consumer, with basic information, cannot foresee the future performance of the product and make a well-informed, deliberate decision on entering into the contract.<\/p>\n<p class=\"\" data-start=\"3145\" data-end=\"3350\">It is important to note that the reading of the multi-currency mortgage deed by the notary <strong data-start=\"3236\" data-end=\"3254\">does not imply<\/strong> that the bank has complied with the transparency requirement in the conclusion of this product.<\/p>\n<p class=\"\" data-start=\"3352\" data-end=\"3730\">The <strong data-start=\"3356\" data-end=\"3373\">Supreme Court<\/strong> declared the <strong data-start=\"3387\" data-end=\"3406\">partial nullity<\/strong> of the multi-currency mortgage loan contract, justifying its decision on the grounds that full nullity would cause serious prejudice to the borrower, who would be forced to repay in a single payment the outstanding loan balance, whereas <strong data-start=\"3644\" data-end=\"3663\">partial nullity<\/strong> was possible under the contractual framework of the mortgage loan.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>In November 2017, the Supreme Court once again ruled on a multi-currency mortgage entered into by borrowers with Barclays Bank, S.A.
